1. Use of Services

You agree to use the services strictly for lawful purposes and in compliance with all applicable laws, regulations, and third-party rights. You shall not misuse the services, attempt unauthorized access, introduce malicious code, disrupt system operations, or interfere with other users' access or experience.

2. User Responsibilities

You are solely responsible for all activities conducted through your usage or account. You agree not to copy, modify, distribute, reverse engineer, decompile, resell, or exploit any part of the services without prior written authorization from the Company.

3. Intellectual Property

All content, software, trademarks, logos, designs, features, and intellectual property associated with the services are owned by or licensed to ScriptEvolve Private Limited. Unauthorized use, reproduction, or distribution is strictly prohibited and may result in legal action.

4. Payments and Service Engagement

For development services, SaaS subscriptions, or any paid offerings, all payments shall be governed by agreed proposals, invoices, or contracts. Failure to make timely payments may result in suspension or termination of services without liability. Unless explicitly stated otherwise in writing or required by applicable law, fees are generally treated as non-refundable once related work or capacity allocation has started.

5. Third-Party Services

The services may include integrations or links to third-party platforms or services. The Company does not control and is not responsible for the availability, content, policies, or practices of such third parties. Your use of third-party services is at your own risk and subject to their respective terms.

6. Data and Privacy

Your use of the services is also governed by our Privacy Policy. While the Company implements reasonable administrative, technical, and security measures, we do not warrant or guarantee absolute protection of data against unauthorized access, loss, or breaches.

7. Limitation of Liability

To the fullest extent permitted by applicable law, ScriptEvolve Private Limited shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities arising out of or in connection with the use or inability to use the services.

8. Indemnification

You agree to indemnify, defend, and hold harmless ScriptEvolve Private Limited, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses arising from your use of the services, violation of these Terms, or infringement of any rights of a third party.

9. Termination and Suspension

The Company reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the services at any time, without prior notice, if you breach these Terms or engage in conduct that is deemed harmful to the Company, its users, or its operations.

10. Governing Law and Arbitration

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms, including their breach, termination, or validity, shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

Unless otherwise agreed in writing, arbitration may be conducted by a sole arbitrator appointed in accordance with applicable law. The seat and venue of arbitration shall be Kolkata, West Bengal, India, and the proceedings shall be conducted in the English language.

Subject to the foregoing, the courts located in Kolkata, West Bengal, India shall have exclusive jurisdiction for the purposes of interim relief or enforcement of any arbitral award. You hereby waive any objection to such jurisdiction, including objections based on forum inconvenience.

11. Changes to Terms

The Company reserves the right to update, modify, or replace these Terms at any time without prior notice. Continued use of the services following any changes constitutes your acceptance of the revised Terms.
